1. Definitions
For the purposes of these Terms of Service ("Terms"):
"The Service" or "NorthRelay" means the hosted SMTP relay infrastructure, web-based dashboard, API endpoints, and associated services provided by Technologies Alteriom Inc. through the domain northrelay.ca and related subdomains.
"The Software" means the underlying technical infrastructure, including but not limited to server-side applications, databases, routing logic, and third-party open-source components that power The Service.
"Customer" or "You" means the individual or legal entity that has registered for an account and agreed to these Terms.
2. Nature of Service
2.1 Service, Not Software
NorthRelay is provided as a Software-as-a-Service (SaaS) platform. You acknowledge and agree that:
No Software Distribution: You are not purchasing, downloading, or receiving a copy of The Software. NorthRelay operates exclusively as a hosted service accessible via API and web interface.
Service Access Only: Your subscription grants you the right to access and use The Service during the term of your subscription, subject to the limitations and restrictions set forth in these Terms.
No Installation Rights: You are not granted any rights to install, host, or operate The Software on your own infrastructure, whether in whole or in part.
No Source Code Access: Except as explicitly provided in open-source license terms for Open-Source Components (see Section 3.3), you are not entitled to access, review, or obtain the source code of The Software.
2.2 Grant of License
Subject to your compliance with these Terms and payment of applicable fees, Technologies Alteriom Inc. grants you a non-exclusive, non-transferable, revocable license to:
Access and use The Service via SMTP protocol (ports 587/465) for email transmission
Access and use the Dashboard for service configuration and monitoring
Use the NorthRelay API for programmatic integration with your applications
Store and retrieve email metadata and logs generated by your use of The Service
3. Intellectual Property Rights
3.1 Proprietary Ownership
Technologies Alteriom Inc. retains exclusive ownership of all intellectual property rights in and to the following Proprietary Components:
Dashboard User Interface: All HTML, CSS, JavaScript, React components, design systems, and visual elements comprising the NorthRelay dashboard
Two-Pool Routing Logic: The algorithmic decision-making system that routes email traffic through "Shared" or "Isolated" IP pools based on user tier
NorthRelay Branding: All trademarks, service marks, trade names, logos, and domain names associated with the NorthRelay service
3.3 Open-Source Components
NorthRelay's infrastructure incorporates Open-Source Components governed by their respective licenses, including but not limited to:
Stalwart Mail Server (AGPLv3): The core SMTP/JMAP mail engine (stalwartlabs/stalwart)
PostgreSQL (PostgreSQL License): Database management system
Next.js (MIT License): Web application framework
Important Clarifications:
No License Contamination: Your use of The Service as a hosted platform does not create any derivative work obligations or license obligations on your part under the AGPLv3 or any other open-source license. You are a userof The Service, not a distributor or modifier of The Software.
Source Code Availability: Source code for Open-Source Components is available from their respective upstream repositories. Technologies Alteriom Inc. will provide source code for our AGPLv3-licensed modifications upon request toengineering@alteriom.com, in compliance with AGPLv3 Section 13.
4. Prohibited Uses
You agree not to use The Service for any of the following purposes:
4.1 Abuse and Illegal Activity
Unsolicited Bulk Email (Spam): Sending spam or any communications that violate anti-spam legislation
Phishing and Fraud: Impersonating other individuals or entities
Malware Distribution: Transmitting viruses, worms, or other malicious software
Harassment: Sending threatening, abusive, or harassing communications
4.2 Technical Abuse
Reverse Engineering: Attempting to discover the source code or algorithms of Proprietary Components
Circumvention: Attempting to bypass rate limits or quota restrictions
Security Testing Without Authorization: Conducting penetration testing without prior written consent
5. Termination
5.1 Termination by Customer
You may terminate your subscription at any time via the Dashboard or by emailingbilling@alteriom.com. Your access will continue until the end of your current billing period. No refunds for partial months.
5.2 Termination by Technologies Alteriom Inc.
We reserve the right to suspend or terminate your account immediately if:
Non-Payment: You are more than 7 days past due
Prohibited Use: You violate Section 4
Security Threat: Your account poses a risk to The Service
